Terms of Service

These terms are the deal between you and Adonboard: what we do, what sellers and brands promise each other, and what happens when something goes wrong. Please read them before you put a suitcase up or place a bid.

1.Who we are

Adonboard is run by [company name], registered in the Netherlands at [street, postcode, city, country], Chamber of Commerce number [KvK number], VAT number [VAT number]. You can reach us at info@emmercemedia.nl.

In these terms, "we" and "Adonboard" mean [company name]. "You" means anyone who uses the website, whether as a seller, as a brand, or as a visitor.

2.What Adonboard does

Adonboard is a marketplace. Sellers offer sticker spots on their own suitcase, and brands bid on those spots in a live auction. When bidding closes, the highest bid on each spot wins it, and the seller applies that brand's sticker to their suitcase and travels with it.

The agreement about a spot is between the seller and the brand. Adonboard provides the platform: the listing, the 3D model, the auction, the payment handling and the record of what was agreed. We are not the seller, we are not the advertiser, and we do not own or carry the suitcases.

3.Accounts

  • You sign in with a link sent to your email address. Keep access to that mailbox safe: anyone who can open your email can sign in as you.
  • You must be at least 18 years old and able to enter into contracts. If you sign up for a company, you confirm you may act for it.
  • The details you give us must be true: your name, your brand name, your website and where you travel.
  • One login can be both a seller and a brand. Each side has its own dashboard.
  • You can ask us to close your account at any time by emailing us. Auctions you are already part of still have to be finished.

4.Rules for sellers

  • You may only offer space on an object you own and will actually use. Photos and details must show the real suitcase.
  • You decide the spots, their real sizes in millimetres, their starting prices and the closing date. Keep them accurate: brands bid on exactly what you show.
  • When bidding closes you apply the winning stickers, within the number of days you promised on your listing, and post proof photos.
  • You keep the stickers on the suitcase and travel as described in your travel profile, for as long as your listing says.
  • You may refuse a sticker that is illegal, hateful, adult, or that you reasonably object to. Tell us and the brand, and the brand is refunded for that spot.
  • You are responsible for your own taxes on what you earn.

5.Rules for brands

  • A bid is a serious offer. If you still hold the highest bid on a spot when bidding closes, you buy that spot at that amount.
  • You must own or be allowed to use the logo and artwork you upload, and it must not infringe anyone's rights.
  • No illegal, hateful, misleading, adult or dangerous content, and nothing that pretends to be another brand.
  • A spot gives you a sticker on one suitcase for the period the seller describes. It is not a promise of views, clicks, sales or any other result.
  • Sellers are private people, not employees or representatives of your brand.

6.How the auction works

  • Each spot has a starting price and a minimum raise. A bid must be at least the current highest bid plus that raise.
  • Bids are public: the brand name, the amount and the logo are shown on the listing. Email addresses stay private.
  • A bid placed in the last two minutes extends the closing time by two minutes, so nobody can win by bidding at the last second.
  • When the clock runs out, the highest bid on each spot wins it. Spots with no bids simply stay empty.
  • We may cancel or correct an auction that is clearly a mistake, broken or abusive, and we may remove a listing or bid that breaks these terms.

7.Prices, payments and fees

Amounts are in euros. While payments are still being switched on, bids are test bids and no money is taken. When payments are live, brands save a card with our payment provider, Stripe, and are charged for the spots they hold when bidding closes. Sellers are paid out through Stripe to their own account.

Adonboard charges the seller a commission of [fee]% of each winning bid on winning bids. Stripe charges its own payment fees. Sellers are responsible for their own taxes; brands receive a receipt for what they pay.

8.When something goes wrong

  • If a seller does not apply the stickers in time or does not post proof, the brand gets its money back for that spot.
  • If a suitcase is lost, stolen or damaged, the seller tells the brands. Money for the remaining time is refunded in proportion.
  • Tell us within 30 days of bidding closing if something is wrong, so we can look into it while the evidence is fresh.
  • We may hold a payout until proof photos are posted or a dispute is settled.

9.Your content

You keep the rights to everything you upload: photos, logos and text. By uploading it, you give us permission to host it and to show it on Adonboard, including in listings, 3D models, search results and our own promotion of the platform. Brands also allow sellers to put their logo on the suitcase and to show it in photos of that suitcase.

We use an outside service to turn seller photos into a 3D model. We may remove content that breaks these terms or the law.

10.Availability and liability

We do our best to keep Adonboard running, but we cannot promise it is always available or free of faults. We provide the platform as it is.

We are not liable for indirect loss, such as lost profit or lost publicity. For anything else, our liability to you is limited to the fees we earned from you in the twelve months before the problem, or €500 if that is higher. Nothing here limits liability that cannot be limited by law, such as for fraud, intent or death and personal injury, and nothing takes away the rights you have as a consumer.

11.Ending the agreement

You can stop using Adonboard whenever you like. We can suspend or close an account that breaks these terms, is abusive, or puts other users at risk. Auctions that are already running are finished or cancelled and refunded, whichever is fair in the situation.

12.Changes to these terms

We may change these terms, for example when the platform changes or the law does. The date at the top says when they were last changed. If a change matters to you, we will tell you by email or on the site before it takes effect. Using Adonboard after that means you accept the new terms.

13.Law and disputes

The law of the Netherlands applies, and disputes go to the courts of the Netherlands. If you are a consumer, you keep the protection of the law of the country you live in, and you can also use the European Commission's online dispute platform.
